Pursuant to the Special Tender Offer Report ("Tender Offer") for the purchase of up to 22,000,000 ordinary shares of NIS 1.00 par value each of Makhteshim Agan Industries Ltd. ("Company"), at a price of NIS 18.00 a share, published by Koor Industries Ltd.  ("Offeror") on August 17, 2009, as amended on October 12, 2009 ("Report"), and the notices of the Offeror, dated September 8, 2009 and September 30, 2009 of the deferral of the date of last acceptance of the Tender Offer and the notice of the Offeror of October 22, 2009 on the results of the Tender Offer, the Offeror is hereby respectfully providing notice that as of the end of the late acceptance period, as defined in the Report, consent notices had been provided in respect of 24,400 additional shares, such that the total consent notices received pursuant to the Report is in respect of 42,613,282 shares of the Company, constituting approximately 9.8% of issued and paid capital of the Company and approximately 9.9% of the voting rights in the Company.   Accordingly, the rate of acquisition by each offeree that responded will be approximately 51.627%.
